2. What is Payoup?

Payoup is a technology (SaaS) platform that provides commercial, operational and technology infrastructure through which digital services supplied by freelancers and other independent service providers are purchased by Payoup and subsequently resold to customers. Payoup acts as the principal seller and Merchant of Record in customer transactions.

Freelancers and other service providers define the services they are able to supply and propose the applicable pricing information through the Payoup platform. Payoup accepts the proposed price as the customer-facing retail price or may adjust it in accordance with its own commercial policies. Payoup purchases the underlying service from the relevant supplier at an agreed Supplier Price and resells the service to the customer as principal seller (Merchant of Record).

Each customer order therefore involves two separate commercial relationships: the customer purchases the service from Payoup, while Payoup separately purchases the underlying service from the relevant freelancer or service provider. Each customer order automatically and simultaneously triggers this purchase by Payoup from the supplier on a back-to-back basis, matching the customer sale; it does not require separate negotiation or prior stock. The freelancer or service provider acts as Payoup's supplier / subcontractor and is responsible to Payoup for producing and delivering the contracted service in accordance with the agreed scope, specifications and delivery requirements.

The freelancer or service provider is not a party to the customer sale. The customer sales contract is concluded with Payoup. Payoup manages the customer relationship, customer terms, invoicing, collection, refunds, customer support and customer disputes.

The Supplier Price is the amount contractually payable by Payoup to its supplier for the underlying service purchased by Payoup for resale. Payment of the Supplier Price represents the discharge of Payoup's own commercial purchase obligation. It is not a transfer, remittance or payout of customer funds belonging to the supplier.

How the Supplier Price is determined: The price a supplier enters when listing on the platform is the starting Retail Price. The Supplier Price payable to the supplier is calculated on the basis of the selling price the supplier sets on the platform, taking into account Payoup's applicable resale margin (5.9% + $0.50 per transaction, or 3.9% for Premium members) and the deductions applied under the relevant commercial terms. The exact Supplier Price is calculated and displayed transparently to the supplier in the dashboard before and after each sale.

Accordingly, the freelancer or service provider has a contractual claim against Payoup for the agreed Supplier Price. The freelancer or service provider does not have a contractual entitlement to the customer's payment made to Payoup and does not control or receive customer funds.

Whether the customer reaches the transaction through Payoup Global, a payment link, an online store, or Payoup Checkout integrated with a freelancer's or service provider's external website, the commercial structure remains unchanged: the customer purchases from Payoup.

PAYOUP is presented as the seller / merchant on the applicable customer documentation and payment descriptor. Payoup does not provide freelancers or service providers with customer-funds accounts, wallets or payment accounts for holding customer funds.

Payoup also provides SaaS tools supporting freelancers and service providers, including AI-powered online stores and e-commerce websites, invoicing, CRM and client management, order management, subscription management, revenue analytics, reporting and API/embed integration.

Business Model Classification

Payoup operates as a principal seller / Merchant of Record and not as a peer-to-peer payment intermediary, payment facilitator or money transmission service. Customers purchase services from Payoup. Payoup separately purchases the underlying services from its suppliers for resale. Supplier payments are made by Payoup in settlement of its own contractual purchase obligations. Payoup does not accept, hold, pool, safeguard, custody or transmit customer funds on behalf of freelancers or other third parties. Customer payment processing is performed by licensed third-party payment service providers.

1
Supplier Registration & KYC
Freelancers and other service providers register on payoup.com, complete identity verification (KYC), and provide information about the services they can supply. They enter applicable pricing information and agree to supply the relevant services to Payoup under the applicable supplier / subcontractor agreement.
2
Customer Purchase from Payoup
The customer purchases the service from Payoup at the applicable customer-facing retail price. Payoup separately sources the corresponding service from the relevant supplier at the agreed Supplier Price. The supplier's entitlement is a contractual claim against Payoup and not an entitlement to customer funds.
3
Payment via Payoup Checkout
Customer payment is completed through Payoup Checkout and processed by a licensed third-party payment processor. Payoup acts as the billing entity, seller of record and Merchant of Record. PAYOUP is presented as the applicable merchant / payment descriptor.
4
Settlement by the Payment Processor
The payment processor applies its own contractual settlement schedule, which may for example be T+3 or T+7. The timing of settlement is determined exclusively by the payment processor's applicable rules. Payoup does not impose an additional customer-funds holding period. During the processor settlement period, the transaction proceeds remain within the payment processor's payment infrastructure and are not held in a Payoup customer-funds account.
5
Settlement to Payoup and Supplier Payment
Following settlement by the payment processor, the relevant sales proceeds are settled to Payoup. Payoup records the relevant commercial sales and purchase obligations and pays the agreed Supplier Price to the supplier through a licensed third-party payment service provider. This payment discharges Payoup's own supplier liability and is not a transfer of customer funds.

Minimum Supplier Payment: 250 USD / 250 EUR / 250 GBP / 5,000 TRY.

4. Revenue Model

Revenue Stream Details
Resale Margin 5.9% + $0.50 per transaction. This represents Payoup's contractual commercial margin arising from the difference between the customer-facing retail selling price and the Supplier Price agreed with the relevant supplier. It is Payoup's commercial revenue from its principal resale activity as Merchant of Record and is not a commission deducted from third-party customer funds.
Premium Membership $19.99/month optional premium plan providing improved margin terms, higher limits, priority supplier payment options, advanced store and business features, and priority support.

8. Risk Management & Compliance

9. Merchant of Record Characteristics

Payoup operates a genuine principal purchase-and-resale Merchant of Record model. Payoup is the contractual seller to the customer and purchases the underlying service from the relevant freelancer or service provider for resale.

Invoice Issuer Payoup
Merchant Descriptor PAYOUP

Chargeback Management Payoup manages customer chargebacks in coordination with the payment processor.
Customer Support and Customer Terms Payoup
Relationship with Freelancer / Service Provider Supplier / subcontractor supplying the underlying service to Payoup for resale.
Supplier Entitlement Contractual claim against Payoup for the agreed Supplier Price.
Payment to Supplier Payment by Payoup in discharge of its own commercial purchase obligation. It is not a transfer of customer funds.
Customer Funds Control Suppliers do not control or receive customer funds. Payoup does not provide customer-funds accounts to suppliers.
Service Delivery Responsibility Supplier produces and delivers the underlying service and provides the related technical support and revisions; the supplier is responsible for this to Payoup rather than directly to the customer. Payoup remains responsible for the customer-facing sale and customer resolution as Merchant of Record.
If the Supplier Fails to Deliver Payoup manages the customer request and, where appropriate, provides a refund, replacement, re-performance or another appropriate customer resolution. Payoup may exercise its contractual rights against the supplier.

Key distinction: Payoup does not merely connect buyers and sellers or facilitate payments between them. Payoup purchases the underlying service from its suppliers and resells that service to customers as principal seller. The supplier's payment is therefore a commercial Supplier Price payable by Payoup under the supplier agreement, rather than a payout or transmission of customer funds.

10. API & Embed Integration (External Sites)

Freelancers and other service providers may connect their existing websites to Payoup Checkout. In this scenario, the provider's website operates as an external sales channel. The use of an external website does not change the underlying commercial relationship or Merchant of Record structure.

Important:

Even when a supplier integrates Payoup Checkout into its own website, the customer purchases the applicable service from Payoup. The supplier's website functions as a sales channel and does not become the seller of record for the transaction. Payoup remains the seller of record, billing entity and Merchant of Record. Customer payment is processed through Payoup Checkout by a licensed third-party payment processor. The supplier's website does not receive or store the customer's card data.
1
Supplier Adds Payoup Button or Link
The supplier places a "Pay Now", checkout button, payment link or similar purchase option on its own website using Payoup API, embed infrastructure or payment links.
2
Customer Proceeds to Payoup Checkout
The customer is directed to Payoup Checkout, such as payoup.com/pay/..., or continues through the Payoup Checkout interface to complete the purchase.
3
Payment Processed by Licensed Payment Processor
The payment is initiated through Payoup Checkout and processed by the licensed third-party payment processor. The supplier's website does not receive or store the customer's card data.
4
Technical Webhook Notification
A technical payment-status notification may be sent to the supplier's system through a webhook. This notification is used for technical order and service-delivery purposes and does not transfer customer funds to the supplier.
5
Supplier Price Payment
Following settlement by the payment processor, Payoup discharges its contractual Supplier Price obligation through a licensed third-party payment service provider to the supplier's verified bank account.

Key point: Using Payoup Checkout on a supplier's own website does not change the commercial structure. The supplier provides an external sales channel, while Payoup remains the seller of record, billing entity and Merchant of Record. The customer purchases from Payoup and the supplier has a separate contractual supplier relationship with Payoup.
